Picoflow Software License Agreement

Version 1.0 — Effective upon download, installation, or use

IMPORTANT — READ BEFORE USING

By downloading, installing, activating, or using the Picoflow software framework ("Software"), you ("Licensee") agree to be bound by the terms of this License Agreement ("Agreement"). If you do not agree, do not use the Software.

1. FREE PERSONAL USE LICENSE

The Software is free to use for personal, non-commercial purposes only.

Personal use means:

Individual use by a single person for hobby, learning, or personal projects
Open-source projects that generate no revenue
Academic or research use with no commercial application
Evaluation and prototyping — prior to any commercial deployment

This free license is strictly limited to personal use. Any commercial use requires a paid license (see Section 2).

2. WHAT COUNTS AS COMMERCIAL USE

Commercial use includes, but is not limited to:

Deploying the Software in a product or service that generates revenue — directly or indirectly
Using the Software within a business, startup, or organization — regardless of size or profit status
Providing services to clients, customers, or employers using the Software
Embedding the Software in a product sold, licensed, or distributed to others
Using the Software to automate business workflows, handle customer interactions, or support internal business operations
Any use where the Software contributes to generating economic value

3. COMMERCIAL LICENSE TIERS

To use the Software commercially, purchase one of the following licenses:

Team License — $199/month or $1,990/year

Unlimited users within a single legal entity
Up to 3 production deployment instances (e.g., dev, staging, production)
Commercial production use
Email support (2 business day response)

Business License — $799/month or $7,990/year

Unlimited users within a single legal entity
Unlimited production instances across any environments or cloud regions
May power customer-facing SaaS products and services
Priority email + Slack support (1 business day response)
Quarterly architectural review

Enterprise License — Custom Pricing

Multi-entity and subsidiary coverage
White-label and OEM rights
Custom SLA, BAA/DPA, dedicated support engineer

4. RESTRICTIONS (ALL USERS)

Regardless of license tier, Licensee may not:

Reverse engineer, decompile, or disassemble any obfuscated portions of the Software
Remove or alter any copyright, trademark, or proprietary notices
Redistribute, sublicense, sell, or transfer the Software or any rights therein to any third party
Use the Software to build a competing AI orchestration framework or product

5. LICENSE KEYS

Commercial licenses are activated via a PICOFLOW_KEY provided upon purchase:

Keys are issued per organization and may not be shared externally
Team keys support up to 3 concurrent instances; Business and Enterprise keys are unlimited
Licensor may audit license usage with reasonable notice
Report compromised keys immediately to support@picoflow.io

6. DATA & PRIVACY

Picoflow is built around data sovereignty:

The Software does not collect, transmit, or store any end-user data. All session state and conversation data resides exclusively within Licensee's own database (MongoDB, CosmosDB, or compatible).
At runtime, the Software connects only to Licensee's configured LLM provider and Licensee's own database. No data passes through Picoflow.io servers.
License key validation at startup does not transmit any session, conversation, or user data.
Licensee is solely responsible for compliance with applicable data protection laws (GDPR, CCPA, HIPAA, etc.) within their own infrastructure.
Enterprise customers may request a Data Processing Agreement (DPA) or Business Associate Agreement (BAA).

7. INTELLECTUAL PROPERTY

7.1 The Software and all associated materials are and remain the exclusive intellectual property of Picoflow.io, Inc.

7.2 Applications, AI flows, and products built using the Software remain the sole intellectual property of Licensee. Picoflow.io, Inc. makes no claim to Licensee's work.

8. LIMITED WARRANTY

Licensor warrants that the Software will perform materially in accordance with its published documentation for 90 days from purchase ("Warranty Period") for paid licenses. The free personal use tier is provided "AS IS" with no warranty of any kind.

EXCEPT AS SET FORTH ABOVE, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

Licensor's total liability shall not exceed fees paid by Licensee in the 12 months preceding the claim. For free (personal use) licenses, liability is zero.
Licensor is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data.
Licensor is not liable for the behavior or outputs of any LLM or AI model used with the Software, or for decisions made by AI agents built using the Software.

10. TERM & TERMINATION

10.1 Personal use licenses are perpetual for the version downloaded, subject to compliance with this Agreement.

10.2 Commercial subscriptions auto-renew unless cancelled at least 30 days before renewal via billing@picoflow.io.

10.3 Licensor may terminate any license immediately upon:

Commercial use without a valid paid license
Material breach not cured within 30 days
Non-payment of fees
Use of the Software in violation of applicable law

10.4 Upon termination, Licensee must immediately cease all use of the Software.

11. GOVERNING LAW & DISPUTES

This Agreement is governed by the laws of the State of Delaware, United States. Disputes unresolved through good-faith negotiation within 30 days shall be submitted to binding arbitration under AAA Commercial Arbitration Rules.

12. GENERAL

Entire Agreement. This Agreement supersedes all prior agreements regarding the Software.
Amendments. Licensor may update this Agreement with 30 days' notice. Continued use constitutes acceptance.
Severability. If any provision is unenforceable, remaining provisions continue in full force.
Assignment. Licensee may not assign this Agreement without prior written consent from Licensor.
