PicoFlow Evaluation and Commercial License
Free for internal, non-production evaluation and prototyping — including in enterprise environments. Production use requires a commercial agreement.
This is the PicoFlow software license. It grants a limited evaluation right and describes the separate agreement required for production. If you accept these terms for an organisation, you confirm that you can bind that organisation.
1. Agreement and definitions
These terms govern your access to, installation of, and use of the PicoFlow software distributed as @picoflow/core, together with its accompanying documentation and examples (the Software). “PicoFlow,” “we,” and “us” mean the provider of the Software identified at contact@picoflow.io. “You” means the individual or organisation accepting these terms.
The Software is proprietary and source-available; it is not open-source software. All rights not expressly granted in this license are reserved.
2. Free evaluation license
Subject to these terms, PicoFlow grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software without charge solely for internal, non-production evaluation.
This evaluation license expressly permits an organisation of any size, including an enterprise, to use the Software for internal research, development, testing, prototyping, proof-of-concept work, demonstrations, technical evaluation, and procurement review. Your employees and contractors may use the Software for those purposes when they are acting on your behalf and are bound by these terms.
No evaluation-fee payment is required. An evaluation license ends when its associated license key expires or is revoked, when you stop evaluating the Software, or when a commercial agreement for the Software takes effect.
3. What counts as production use
Production Use means using the Software to operate a live service or workflow for customers, end users, or an organisation’s operational business activities. It includes processing live customer or employee requests, making or supporting operational decisions, handling real transactions, or delivering a service to a third party.
Production Use is not permitted under the evaluation license. It requires a separate written commercial agreement or order with PicoFlow. That agreement controls the applicable fees, deployment scope, support, term, and any additional rights.
4. Restrictions
You may not, and may not allow any other person to:
- use the Software for Production Use without a commercial agreement;
- sell, rent, lease, sublicense, distribute, publish, or make the Software available to a third party except as expressly allowed in a commercial agreement;
- remove or obscure proprietary notices, or bypass, disable, or interfere with license-key or other access controls;
- reverse engineer, decompile, or disassemble the Software except to the limited extent that applicable law prohibits that restriction; or
- use the Software in violation of applicable law or to infringe another party’s rights.
5. Ownership and third-party software
PicoFlow and its licensors retain all right, title, and interest in the Software, including all intellectual-property rights. No ownership transfers to you under this license.
The Software may include or depend on third-party components that are licensed under their own terms. Those terms apply to the applicable components and are not changed by this license.
6. Your data and model providers
You choose and remain responsible for the models, tools, session stores, credentials, data, and environments used with the Software. PicoFlow does not receive your prompts or session documents merely because you run the Software. Your use of third-party model providers and services is governed by your agreements with them.
7. Evaluation support and changes
The evaluation license does not include support, service levels, uptime commitments, or a commitment to maintain any particular feature. PicoFlow may update the Software or the evaluation program. A later version of this license applies only when you accept it or when it accompanies a later Software release.
8. Disclaimer and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” PICOFLOW DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICOFLOW WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SOFTWARE OR THIS LICENSE.
9. Termination
This evaluation license terminates automatically if you breach these terms. PicoFlow may terminate an evaluation license by revoking its associated license key on reasonable notice. On termination, you must stop using the Software under the evaluation license and delete copies under your control, except for copies retained solely to comply with law or ordinary backup retention that remain inaccessible and unused.
10. Contact and commercial terms
For an evaluation key, a production license, or questions about these terms, contact contact@picoflow.io. A signed commercial agreement takes precedence over this evaluation license where the two conflict.
Before relying on this agreement as binding commercial terms, PicoFlow should have qualified counsel confirm the provider’s legal name, governing law, and liability provisions for the jurisdictions in which it will operate.
